By accessing or using our Services, you agree to be bound by these Terms. If you do not agree to these Terms, you may not access or use the Services.

Important: These Terms apply to website visitors and general service users. Specific consulting and technology services are governed by separate Master Service Agreements or Statements of Work executed between Netspective and the client organization.

Description of Services

Netspective provides technology consulting, software development, regulatory compliance consulting, and related professional services primarily for organizations in regulated industries including healthcare, government, and life sciences.

Our website provides information about our services, thought leadership content, and mechanisms for contacting us. The information provided on our website is for general informational purposes and does not constitute professional advice.

Actual service engagements require execution of separate agreements specifying scope, deliverables, fees, and other terms specific to your project.

Eligibility

By using our Services, you represent and warrant that:

  • You are at least 18 years of age
  • You have the legal capacity to enter into these Terms
  • If acting on behalf of an organization, you have authority to bind that organization to these Terms
  • Your use of the Services does not violate any applicable law or regulation

The Services and their contents, including but not limited to text, graphics, logos, images, software, methodologies, frameworks, and documentation ("Netspective Content"), are owned by or licensed to Netspective and are protected by copyright, trademark, and other intellectual property laws.

You may access and use Netspective Content solely for your personal, non-commercial informational purposes. You may not:

  • Copy, modify, distribute, or create derivative works from our content without prior written consent
  • Use our content for commercial purposes without authorization
  • Remove or alter any proprietary notices or labels

Professional Services Terms

For consulting and technology services engagements:

  • Services are provided pursuant to separately executed Master Service Agreements (MSAs) and/or Statements of Work (SOWs)
  • Specific terms regarding scope, deliverables, timelines, fees, and intellectual property ownership are defined in those agreements
  • In the event of conflict between these Terms and a signed MSA or SOW, the signed agreement shall control
  • Confidentiality obligations and non-disclosure terms are governed by separate agreements

Nothing on this website constitutes an offer to provide services. All service engagements require mutual written agreement.

Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, NETSPECTIVE AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, USE, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR ACCESS TO OR USE OF THE SERVICES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE GREATER OF ONE HUNDRED DOLLARS ($100) OR THE AMOUNT YOU PAID US, IF ANY, FOR ACCESS TO THE SERVICES DURING THE TWELVE (12) MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain damages. In such jurisdictions, our liability shall be limited to the maximum extent permitted by law.

Indemnification

You agree to indemnify, defend, and hold harmless Netspective and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to: (a) your use of the Services; (b) your violation of these Terms; (c) your violation of any rights of a third party; or (d) any content you submit or transmit through the Services.

Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of the Commonwealth of Virginia, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or the Services shall be resolved exclusively in the state or federal courts located in Fairfax County, Virginia, and you consent to the personal jurisdiction of such courts.

Before filing a legal claim, you agree to attempt to resolve any dispute informally by contacting us. We will attempt to resolve the dispute through good faith negotiations.

Termination

We may terminate or suspend your access to the Services immediately, without prior notice or liability, for any reason, including if you breach these Terms.

Upon termination, your right to use the Services will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including intellectual property provisions, disclaimers, limitations of liability, and dispute resolution provisions.

Modifications to Terms

We reserve the right to modify these Terms at any time. We will notify you of material changes by posting the updated Terms on our website with a new "Last Updated" date. Your continued use of the Services after such changes constitutes acceptance of the modified Terms. It is your responsibility to review these Terms periodically.

Severability

If any provision of these Terms is held to be invalid, illegal, or unenforceable, the remaining provisions shall continue in full force and effect. The invalid or unenforceable provision shall be modified to the minimum extent necessary to make it valid, legal, and enforceable while preserving its original intent.

Entire Agreement

These Terms, together with our Privacy Policy and any separately executed service agreements, constitute the entire agreement between you and Netspective regarding your use of the Services and supersede all prior and contemporaneous understandings, agreements, representations, and warranties.

Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of Netspective.
